Terms & Conditions.

These terms explain how we work together: what we deliver, how payments work, who owns what, and what each of us can expect. We've kept them clear and simple.

Last updated: 23 October 2026 Applies to: scalivity.com & all services

01Agreement to terms

These Terms & Conditions apply to everyone who uses scalivity.com and to every client who hires Scalivity ("we", "us", "our"), a digital marketing agency based in Bengaluru, India.

By using our website, accepting a quote, or paying an invoice, you agree to these terms. If a signed proposal or agreement with you says something different, that document takes priority for that project.

02Our services

We provide website design and development, search engine optimisation (SEO), performance marketing (Google & Meta Ads), social media management, email marketing and marketing consultancy.

The exact work we'll do for you, including deliverables, timelines and pricing, is set out in your quote or proposal.

03Quotes & scope of work

  • Quotes are valid for 30 days from the date they're sent, unless stated otherwise.
  • The scope of work covers only what's listed in your quote or proposal.
  • Anything outside the agreed scope, such as extra pages, features or campaigns, will be quoted separately before we start on it.
  • Work begins once you've accepted the quote and we've received the advance payment.

04Payments & invoices

  • Projects (such as websites): 50% advance before work starts, and the remaining 50% before the website goes live or files are handed over.
  • Monthly services (such as SEO, ads management, social media and email marketing): billed in advance at the start of each month.
  • Invoices are due within 7 days of the invoice date.
  • If a payment is late, we may pause work until it's cleared. Timelines will move by the length of the delay.
  • Prices are in Indian Rupees (INR) unless agreed otherwise. Applicable taxes, such as GST where it applies, will be added as required by law.
  • International clients pay any bank or transfer charges on their side.

05Your responsibilities

To deliver great work on time, we need your help. You agree to:

  • Provide content, images, logins and feedback on time.
  • Make sure that everything you give us (text, images, logos, customer data) is yours to use and doesn't break any law or anyone else's rights.
  • Review and approve work within a reasonable time.
  • Follow the rules of the platforms we use for you, such as Google, Meta and email providers.

06Timelines & revisions

Timelines in your quote are estimates based on getting content and feedback from you on time. Delays on your side, or changes to the scope, may move the delivery date.

Each project includes the number of revision rounds stated in your quote. Additional revisions, or changes after final approval, may be charged separately. If we don't hear from you for 30 days during a project, we may treat it as paused, and restarting may be scheduled based on our availability.

07Results & no guarantees

We always work hard to get you the best possible results, and we'll be honest with you about what's realistic. However, marketing results depend on many things outside our control, such as search engine algorithms, ad platform policies, competition, your market and your budget.

For this reason, we don't guarantee specific rankings, traffic, leads, sales or return on ad spend. Any figures we share are estimates or past results, not promises.

08Ad spend & third-party costs

  • Ad budgets for Google, Meta and other platforms are separate from our fees and are paid by you directly to the platform.
  • Domain, hosting, premium themes, plugins, software and stock images are not included in our fees unless your quote says so.
  • Wherever possible, accounts such as your domain, hosting and ad accounts are set up in your name, so you always stay in control.
  • We're not responsible for price changes, outages or policy decisions made by third-party platforms.

09Ownership & portfolio use

Once you've paid in full, you own the final deliverables we create for you, such as your website design, content and creatives. Until full payment, ownership stays with us.

Third-party items, such as themes, plugins, fonts and stock images, remain under their own licences. Our own tools, templates, processes and know-how remain ours.

Unless you ask us not to in writing, we may show the work we've done for you in our portfolio, case studies and social media.

10Confidentiality

We keep your business information, logins and data confidential and use them only to deliver your services. We ask that you also keep our proposals, pricing and strategies confidential. How we handle personal data is explained in our Privacy Policy.

11Cancellation & refunds

  • Monthly services: there are no long lock-in contracts. Either side can cancel with 30 days' written notice. Fees for the current month are not refundable.
  • Projects: if you cancel after work has started, the advance payment is non-refundable, and you'll pay for any work completed beyond what the advance covers.
  • We may end our work with you if invoices stay unpaid, if you break these terms, or if a request is unlawful or unethical.
  • When our work ends, we'll hand over the deliverables you've paid for and help transfer any account access you need.

12Limitation of liability

To the extent permitted by law, we are not liable for indirect losses, such as lost profits, lost data or lost business opportunities, or for problems caused by third-party platforms, hosting providers or account suspensions.

Our total liability for any claim related to our services is limited to the fees you paid us for that service in the 3 months before the claim.

13Use of our website

The content on scalivity.com, including text, design, graphics and logos, belongs to Scalivity or its clients and may not be copied or reused without permission. You agree not to misuse the website, try to break its security, or use it for anything unlawful.

The information on our website is for general purposes only and may change without notice.

14Governing law

These terms are governed by the laws of India. We'll always try to resolve any disagreement through honest conversation first. If that doesn't work, the courts of Bengaluru, Karnataka will have exclusive jurisdiction.

15Changes & contact

We may update these terms from time to time. Changes will be posted on this page with a new "Last updated" date. Changes won't affect projects that are already underway unless we both agree.
